PROOF OF CONCEPT TERM LICENSE
This Proof of Concept Term License Agreement (”Agreement”) is entered into by and between
MicroStrategy and the Licensee named in the signature block as of the date on which Licensee has
executed this Agreement and MicroStrategy has accepted it as provided in Section 3.2 (the “Effective Date”).
As used in this Agreement, MicroStrategy shall mean the MicroStrategy entity that accepted the order from
Licensee, i.e. (a) for orders shipped to the United States or Canada, MicroStrategy is MicroStrategy
Services Corporation; (b) for orders shipped to countries where MicroStrategy has a subsidiary,
MicroStrategy is the MicroStrategy subsidiary in that country; (c) for all other countries, MicroStrategy is
MicroStrategy Limited. MicroStrategy and Licensee, for valuable consideration, the receipt and sufficiency
of which each party acknowledges, and each intending to be legally bound, hereby acknowledge and agree
as follows:
In the event of any discrepancies between the English and the Portuguese version, the English version shall
prevail.

O presente Acordo de Licença de Prova de Conceito por Prazo Determinado (“Acordo”) é celebrado por e
entre a MicroStrategy e o Licenciado nomeado no espaço para assinaturas adiante, na data na qual o
presente Acordo for firmado pelo Licenciado e aceito pela MicroStrategy, conforme estipulado na Secção
3.2 (a “Data Efectiva”). Conforme utilizado no presente Acordo, por MicroStrategy entender-se-á a entidade
MicroStrategy que aceitou a encomenda do Licenciado, isto é, (a) para encomendas expedidas para os
Estados Unidos da América ou Canadá, a MicroStrategy será MicroStrategy Services Corporation; (b) para
encomendas expedidas para os países onde a MicroStrategy possui uma filial, a MicroStrategy será a filial
da MicroStrategy nesse país; (c) para todos os outros países, a MicroStrategy será MicroStrategy Limited.
Para efeitos de avaliação, cuja recepção e suficiência são reconhecidas por ambas as partes, e
pretendendo cada uma vincular-se juridicamente, a MicroStrategy e o Licenciado reconhecem e concordam
com o seguinte:

prevalecerá.

USE OF EVALUATION SOFTWARE
1.1
Subject to the terms and conditions of this
Agreement and Licensee’s compliance herewith,
MicroStrategy grants Licensee a non-exclusive, nontransferable license to use the MicroStrategy
software products that are enabled by the evaluation
CD key provided by MicroStrategy to Licensee
("Evaluation Software") in a non-production, test
environment, for the sole purpose of internally
evaluating the Evaluation Software for possible use

1.1

Subject to early termination pursuant to Section 1.8,

1.2
THE EVALUATION SOFTWARE AND ANY

OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, ACCURACY, SYSTEMS
INTEGRATION, QUIET ENJOYMENT, TITLE AND
NONINFRINGEMENT.

1.3
MICROSTRATEGY SHALL HAVE NO
LIABILITY TO LICENSEE FOR ANY DAMAGES OF
ANY KIND, INCLUDING LIABILITY FOR DIRECT,
INDIRECT,
SPECIAL,
INCIDENTAL,
OR
CONSEQUENTIAL DAMAGES (INCLUDING LOSS
OF DATA OR INFORMATION, LOSS OF REVENUE
OR
ANTICIPATED
PROFITS,
OR
LOST
BUSINESS). THE EXCLUSION OF DAMAGES IN
THIS SECTION 1.3 IS INDEPENDENT OF THE
AGREED SOLE REMEDY IN SECTION 1.4 AND
SHALL APPLY EVEN IF THE AGREED SOLE
REMEDY FAILS OF ITS ESSENTIAL PURPOSE
OR IS HELD UNENFORCEABLE FOR ANY OTHER
REASON.

Licensee shall not acquire any intellectual
property or other rights, express or implied, in or
relating to the Evaluation Software or any other
MicroStrategy products or services, other than the
limited license rights to use the Evaluation Software
that are specified in this Agreement. MicroStrategy
and its licensors do and shall retain all right, title and
interest, including all intellectual property and other

1.6
Licensee shall not use, or permit any other
person or entity to use, the Evaluation Software or
any other MicroStrategy products or services in any
manner or for any purpose other than as expressly
and specifically authorized by this Agreement.
Without limiting the foregoing, Licensee shall not
directly or indirectly reverse engineer, disassemble,
decompile or translate the Evaluation Software, or
permit any person or entity to do so, except if and to
the extent expressly allowed by applicable law to do
so notwithstanding this contractual prohibition.

1.6

ou tradução do Software de Avaliação, nem
permitirá a qualquer pessoa ou entidade o fazer,
salvo e até ao limite expressamente permitido pela
lei aplicável para o efeito, não obstante a presente
proibição contratual.
1.7
Licensee shall not rent, lease or sublicense
the Evaluation Software, purport to do so or permit
any person or entity to do so or to purport to do so,
and any purported rental, lease or sublicense shall
be null and void. In addition, Licensee shall not
provide third parties with access to the Evaluation
Software through a service bureau, commercial
time-sharing arrangement, or ASP arrangement, use
the Evaluation Software to provide outsourcing or
training services or permit any person or entity to do
any of the foregoing.
1.7
O Licenciado não alugará, arrendará ou
sub-licenciará o Software de Avaliação nem tentará
fazê-lo, nem permitirá a qualquer pessoa ou
entidade fazê-lo ou tentar fazê-lo, e qualquer
aluguer, arrendamento ou sub-licença implícitos
serão considerados nulos ou sem validade. Além
disso, o Licenciado não proporcionará a terceiros o
acesso ao Software de Avaliação através de um
gabinete de serviço, acordo de “time-sharing”
comercial ou ASP, não utilizará o Software de
Avaliação
para
proporcionar
serviços
de
“outsourcing” ou formação, nem permitirá a qualquer
pessoa ou entidade levar a cabo os actos
supramencionados.
1.8
Upon expiration or termination of the Term,
the rights of Licensee to use the Evaluation Software
shall terminate without notice and Licensee shall
uninstall and cease all use of all Evaluation
Software. Licensor may also include an automatic
restraint within the Evaluation Software and use
such restraint to prevent use of the Evaluation
Software after the Term. Licensee acknowledges
and agrees that inclusion and use of such restraint is
reasonable and appropriate, and Licensee
knowingly and voluntarily waives any right it might
otherwise have to object to the inclusion or use of
such restraint. Notwithstanding anything to the
contrary in this Agreement, this Agreement will
terminate immediately with or without notice from
Licensor if Licensee (a) fails to comply with any
provision of this Agreement or (b) becomes insolvent
or is the subject of a voluntary or involuntary petition
for any bankruptcy or other debtor protection law.
The following provisions shall survive expiration or
termination of this Agreement for any reason:
Sections 1.2 through 1.9, inclusive, and Section 3 in
its entirety.
1.8
Após a expiração ou rescisão do Prazo, os
direitos do Licenciado de utilizar o Software de
Avaliação cessarão sem aviso e o Licenciado
desinstalará e cessará toda a utilização de todo o
Software de Avaliação. O Licenciador poderá
igualmente incluir uma restrição automática no
Software de Avaliação e utilizá-la para evitar a
utilização do Software de Avaliação após o Prazo. O
Licenciado reconhece e concorda que a inclusão e
utilização dessa restrição é razoável e apropriada, e
renuncia, intencional e voluntariamente, a qualquer
direito que de outra forma possa ter de se opor à
inclusão ou utilização dessa restrição. Não obstante
qualquer elemento em contrário no presente
Acordo, o mesmo estará imediatamente rescindido,
com ou sem aviso do Licenciador, caso o
Licenciado (a) não aja em conformidade com
qualquer disposição do presente Acordo ou (b) se
torne insolvente ou seja objecto de uma petição
voluntária ou involuntária para qualquer legislação
de falência ou outra legislação de protecção de
devedor. As disposições seguintes subsistirão após
a expiração ou rescisão do presente Acordo por

qualquer motivo: Secções 1.2 a 1.9, inclusive, e
Secção 3 na totalidade.
1.9
Licensee acknowledges and agrees that
the Evaluation Software, including any technical
documentation therefor, contains MicroStrategy
confidential information. Licensee shall not use, or
permit any other person or entity to use, any
MicroStrategy confidential information in any manner
not expressly and specifically authorized by this
Agreement, and Licensee shall not disclose, or
permit any other person or entity to disclose, any
MicroStrategy confidential information or the results
of any benchmark tests of the Evaluation Software
to any third party without MicroStrategy’s advance
written permission, which MicroStrategy may grant
or withhold in its sole discretion.
1.9
O Licenciado reconhece e concorda que o
Software de Avaliação, incluindo qualquer
documentação técnica para esse fim, contém
informações confidenciais da MicroStrategy. O
Licenciado não utilizará nem permitirá a qualquer
pessoa ou entidade utilizar quaisquer informações
confidenciais da MicroStrategy, de qualquer forma
não expressa e especificamente autorizada pelo
presente Acordo, nem divulgará ou permitirá a
qualquer pessoa ou entidade divulgar quaisquer
informações confidenciais da MicroStrategy ou os
resultados de quaisquer testes de referência do
Software de Avaliação a qualquer terceiro, sem o
consentimento prévio, por escrito, da MicroStrategy
que a mesma poderá conceder ou recusar, a seu
exclusivo critério.

TECHNICAL SUPPORT
ASSISTÊNCIA TÉCNICA
2.1
Subject to the terms and conditions of this
Agreement and Licensee’s compliance herewith,
and subject to MicroStrategy’s then-current technical
support policies and procedures, MicroStrategy will
make available during the term of this Agreement, to
an extent determined by MicroStrategy in its sole
discretion, complimentary technical support for the
Evaluation Software. Licensee may designate two
(2) technical contacts to report issues and receive
support.
2.1
Sujeito aos termos e condições do presente
Acordo a seu cumprimento pelo Licenciado, e
sujeito às políticas e procedimentos técnicos então
em vigor da MicroStrategy, a mesma disponibilizará
assistência técnica grátis para o Software de
Avaliação, durante o Prazo do presente Acordo, até
ao limite determinado pela MicroStrategy a seu
exclusivo critério. O Licenciado poderá designar
dois (2) contactos técnicos para comunicar
problemas e receber assistência.

3
GENERAL TERMS
3.1
THE LAWS OF THE COMMONWEALTH
OF VIRGINIA, UNITED STATES OF AMERICA,
EXCLUDING ITS CONFLICTS OF LAW RULES,
SHALL GOVERN THIS AGREEMENT AND ALL
MATTERS ARISING OUT OF OR RELATING TO
THIS AGREEMENT. THE UN CONVENTION FOR
THE INTERNATIONAL SALE OF GOODS SHALL
NOT APPLY TO THIS AGREEMENT IN WHOLE
OR IN PART. MICROSTRATEGY AND LICENSEE
AGREE TO SUBMIT TO THE EXCLUSIVE
PERSONAL JURISDICTION OF, AND AGREE
THAT VENUE IS PROPER IN, THE STATE
COURTS IN FAIRFAX COUNTY, VIRGINIA, OR
THE UNITED STATES DISTRICT COURT IN
ALEXANDRIA, VIRGINIA, IN ANY LEGAL ACTION
OR PROCEEDING ARISING OUT OF OR
RELATING TO THIS AGREEMENT, PROVIDED
THAT MICROSTRATEGY SHALL HAVE THE
RIGHT TO ENFORCE ITS INTELLECTUAL
PROPERTY AND CONFIDENTIALITY RIGHTS,
INCLUDING
ITS
CONTRACTUAL
RIGHTS
HEREUNDER RELATING THERETO, IN ANY
COURT
OF
COMPETENT
JURISDICTION
ANYWHERE IN THE WORLD.

3.2
This Agreement is subject to MicroStrategy
acceptance. This Agreement shall be considered
accepted by MicroStrategy only when Licensee has
executed this Agreement and MicroStrategy has
shipped the CD containing the Evaluation Software
and has provided Licensee an evaluation CD key
enabling use of the Evaluation Software, at which
time this Agreement shall be effective and binding
on both parties. MicroStrategy may reject the
Agreement for any reason by not shipping the CD
containing the Evaluation Software, by not providing
Licensee an evaluation CD key or by giving other
notice of rejection.
3.3
.Any terms not set forth in this Agreement
and to which MicroStrategy has not agreed
specifically in writing are excluded and shall not be
binding on MicroStrategy. This Agreement may not
be modified or amended except in a writing signed
by a duly authorized representative of each party; no
other act, document, usage or custom shall be
deemed to amend or modify this Agreement. No
waiver of any default or breach of this Agreement
shall be effective unless signed by the waiving party
and shall not in any event apply to any other or
subsequent default or breach. Without limiting the
foregoing, no delay or omission to exercise any right
or remedy accruing to MicroStrategy on any breach
by Licensee shall impair any such right or remedy.
In the event any provision of this Agreement is held
to be invalid or unenforceable, the remaining
provisions of this Agreement shall remain in full force
and effect. The parties intend that all provisions in
this Agreement that are protective of MicroStrategy’s
intellectual property and confidentiality rights will be
given effect to the maximum extent, and if for any
reason any such provision is not fully valid and
enforceable, the parties intend that it be construed
so as to provide the maximum protection for such
rights as is legally permissible. The parties further
intend that all rights and remedies of MicroStrategy
under this Agreement are cumulative. If, however,
for any reason any rights or remedies are deemed to
be in conflict, MicroStrategy shall have the right to
select which ones provision prevail.
3.2
O presente Acordo está sujeito à aceitação
da MicroStrategy. O presente Acordo apenas será
considerado como tendo sido aceite pela
MicroStrategy após ter sido executado pelo
Licenciado e a MicroStrategy ter expedido o CD
contendo o Software de Avaliação e proporcionado
ao Licenciado uma chave de CD de avaliação que
permite a utilização do Software de Avaliação,
sendo que, a partir desse momento, o presente
Acordo será eficaz e vinculante para ambas as
partes. A MicroStrategy poderá rejeitar o Acordo por
qualquer motivo, ao não expedir o CD contendo o
Software de Avaliação, ao não proporcionar ao
Licenciado uma chave de CD de avaliação ou ao
conceder outro aviso de rejeição.
3.3
Quaisquer termos não estabelecidos no
presente Acordo e com os quais a MicroStrategy
não concordou especificamente por escrito serão
excluídos e não serão vinculantes para a
MicroStrategy. O presente Acordo não poderá ser
modificado ou corrigido, excepto num documento
escrito e assinado por um representante
devidamente autorizado de cada parte. Nenhum
outro acto, documento, utilização ou costume será
apontado para modificar o presente Acordo.
Nenhuma renúncia a qualquer incumprimento ou
violação do presente Acordo será efectiva, salvo
assinada pela parte que renuncia e não será, em
circunstância alguma, aplicável a qualquer outro
incumprimento ou violação ou subsequentes. Não
se limitando ao supramencionado, nenhum atraso
ou omissão para exercer qualquer direito ou
correcção respeitante à MicroStrategy sobre
qualquer violação por parte do Licenciado
comprometerá qualquer direito ou correcção deste
tipo. Na eventualidade de qualquer disposição do
presente Acordo ser considerada inválida ou
ineficaz, as restantes disposições do presente
Acordo permanecerão em vigor. As partes
pretendem que todas as disposições no presente
Acordo que protegem a propriedade intelectual e os
direitos de confidencialidade da MicroStrategy
vigorem até ao limite máximo e, se por qualquer
motivo quaisquer destas disposições não sejam
totalmente válidas e eficazes, as partes pretendem
que as mesmas sejam interpretadas de modo a
proporcionar a máxima protecção a esses direitos,
tanto quanto for juridicamente permitido. As partes
desejam igualmente que todos os direitos e
correcções da MicroStrategy ao abrigo do presente
Acordo sejam cumulativos. Contudo, se por
qualquer motivo, quaisquer direitos ou correcções
sejam considerados como estando em conflito, a
MicroStrategy terá o direito de seleccionar as

disposições que deverão prevalecer.
3.4
Licensee shall not assign any part of this
Agreement or transfer any license without the
express prior written consent of MicroStrategy.
MicroStrategy shall have the right to assign this
Agreement or any part hereof without Licensee’s
consent.
3.4
O Licenciado não cederá qualquer parte do
presente Acordo, nem transferirá qualquer licença,
sem o consentimento expresso, por escrito, da
MicroStrategy. A MicroStrategy terá o direito de
ceder o presente Acordo ou qualquer parte do
mesmo, sem o consentimento do Licenciado.
3.5
This Agreement constitutes the complete
agreement between the parties, and supersedes all
prior agreements and representations, written or
oral, concerning the subject matter of this
Agreement, including all terms of any “shrink-wrap”
or “click-wrap” license included in any package,
media or electronic version of the Evaluation
Software, provided, for the avoidance of doubt, that
this Agreement does not supersede any agreement
between the parties that obligates Licensee to pay
any license fee or other sum to MicroStrategy or any
of its affiliates.
3.5
O presente Acordo constitui o Acordo
completo entre as partes e substitui todos os
Acordos e representações anteriores, quer por
escrito quer por via oral, no que diz respeito ao
objecto do presente Acordo, incluindo todos os
termos de qualquer licença “click-wrap” ou “shrinkwrap” incluídos em qualquer pacote, suporte ou
versão electrónica do Software de Avaliação, desde
que, para efeitos de esclarecimento, o presente
Acordo não substitua qualquer Acordo entre as
partes que obrigue o Licenciado ao pagamento de
qualquer taxa de licença ou outro montante à
MicroStrategy ou a quaisquer das suas filiais.
3.6
Licensee agrees to comply fully with all
relevant export laws and regulations of the United
States and all other jurisdictions (“Export Laws”) to
assure that neither the Evaluation Software nor any
direct product thereof is exported, directly or
indirectly, in violation of Export Laws or is intended
to be used for any purposes prohibited by the Export
Laws.
3.6
O Licenciado compromete-se a agir em total
conformidade com todas as leis e regulamentos de
exportação relevantes dos Estados Unidos da
América e outras jurisdições (“Leis de Exportação”),
de modo a assegurar que nem o Software de
Avaliação nem qualquer produto directo do mesmo
seja exportado, directa ou indirectamente, em
violação das Leis de Exportação, ou seja utilizado
para qualquer efeito proibido pelas Leis de
Exportação.
3.7
MicroStrategy shall have the right, directly
and/or through an accounting firm or other third
party, to audit Licensee’s use (or other disposition)
of the Evaluation Software (and any other
MicroStrategy products or services) at Licensee’s
facilities and anywhere else there is a reasonable
basis to believe that Licensee uses (or permits to be
used) any Evaluation Software (or any other
MicroStrategy products or services). Such audit
may be conducted at any time with five business
days’ advance notice, provided that, to the extent
feasible, MicroStrategy will use its commercially
reasonable efforts to avoid unnecessarily interfering
with Licensee’s business activities. If Licensee does
not fully cooperate with any audit performed or
attempted to be performed by MicroStrategy
pursuant to this Section 3.7, or if any such audit
reveals that Licensee is not fully in compliance with
this Agreement, then, without prejudice to
MicroStrategy’s other rights and remedies, Licensee
shall pay all costs of the audit.
3.7
A MicroStrategy terá o direito de,
directamente e/ou através de uma empresa de
contabilidade ou outro terceiro, auditar a utilização
(ou outra disposição) do Software de Avaliação (e
quaisquer outros produtos ou serviços da
MicroStrategy) por parte do Licenciado, nas
instalações do mesmo e onde exista um
fundamento razoável para acreditar que o
Licenciado utiliza (ou permite a utilização de)
qualquer Software de Avaliação (ou quaisquer
outros produtos ou serviços da MicroStrategy). Esta
auditoria poderá ser efectuada a qualquer momento,
após um aviso de cinco dias úteis de antecedência,
desde que, tanto quanto seja possível, a
MicroStrategy utilize esforços comercialmente
razoáveis para evitar interferir desnecessariamente
com as actividades de negócio do Licenciado. Caso
o Licenciado não coopere totalmente com qualquer
auditoria efectuada ou tentada pela MicroStrategy
conforme a Secção 3.7, ou se essa auditoria revelar
que o Licenciado não se encontra em conformidade
total com o presente Acordo, o Licenciado efectuará
o pagamento de todos os custos da auditoria, sem
prejuízo para os outros direitos e recursos da
MicroStrategy.
