DEBTORS’ APPLICATION FOR ENTRY OF AN ORDER AUTHORIZING
RETENTION AND EMPLOYMENT OF BROOKS KUSHMAN P.C. AS SPECIAL
COUNSEL TO THE DEBTORS UNDER SECTIONS 327(e) AND 328(a) OF THE
BANKRUPTCY CODE EFFECTIVE NUNC PRO TUNC TO THE PETITION DATE
The above-captioned debtors (collectively, the “Debtors”) hereby apply to the Court,
pursuant to this application (the “Application”), for the entry of an order, substantially in the
form attached hereto as Exhibit A, authorizing and approving the Debtors’ employment and
retention of Brooks Kushman P.C. (“Brooks Kushman”) as special intellectual property counsel
to the Debtors effective nunc pro tunc to the Petition Date (as defined herein). In support of this
Application, the Debtors submit the Declaration of Earl J. LaFontaine (the “LaFontaine
Declaration”), a shareholder at Brooks Kushman, which is attached hereto as Exhibit B. In
further support of this Application, the Debtors respectfully state as follows:2
Jurisdiction
1.
The Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and
1334. This matter is a core proceeding within the meaning of 28 U.S.C. § 157(b)(2).
2.
Venue is proper pursuant to 28 U.S.C. §§ 1408 and 1409.
3.
The statutory bases for the relief requested herein are sections 327(e) and 328 of
the Bankruptcy Code, 11 U.S.C. §§ 101–1532 (the “Bankruptcy Code”), Rules 2014(a) and 2016
of the Federal Rules of Bankruptcy Procedure (the “Bankruptcy Rules”) and Rules 2014-1 and
2016-1 of the Local Bankruptcy Rules for the Southern District of New York (the “Local
Bankruptcy Rules”).

Background
4.
On the date hereof (the “Petition Date”), each of the Debtors filed a petition
(collectively, the “Chapter 11 Cases”) with the Court under chapter 11 of the Bankruptcy Code,
11 U.S.C. §§ 101–1532 (the “Bankruptcy Code”). The Debtors are operating their businesses
and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of
the Bankruptcy Code. No request for the appointment of a trustee or examiner has been made in
the Chapter 11 Cases, and no committees have been appointed or designated. Concurrently with
the filing of this Application, the Debtors have requested procedural consolidation and joint
administration of the Chapter 11 Cases.
Relief Requested
5.
By this Application, the Debtors respectfully request entry of an order pursuant to
sections 327(e) and 328(a) of the Bankruptcy Code authorizing them to employ and retain
Brooks Kushman as their special intellectual property counsel as of the Petition Date to perform
certain legal services they will require during the course of the Chapter 11 Cases.
Basis for Relief

The Debtors seek to retain Brooks Kushman as special counsel because of Brooks
Kushman’s long-standing representation of the Debtors and its attendant intimate knowledge of
their businesses and affairs, as well as Brooks Kushman’s extensive experience and expertise in
the services set forth below on which it is to be employed.
7.
Section 327(e) of the Bankruptcy Code provides that a debtor, subject to Court
approval,
may employ, for a specified special purpose, other than to
represent the [debtor] in conducting the case, an attorney that has
represented the debtor, if in the best interest of the estate, and if
such attorney does not represent or hold any interest adverse to the

debtor or to the estate with respect to the matter on which such
attorney is to be employed.

Bankruptcy Rule 2014(a) requires that an application for retention include
specific facts showing the necessity for the employment, the name
of the [firm] to be employed, the reasons for the selection, the
professional services to be rendered, any proposed arrangement for
compensation, and, to the best of the applicant’s knowledge, all of
the [firm’s] connections with the debtor, creditors, any other party
in interest, their respective attorneys and accountants, the United
States trustee, or any person employed in the office of the United
States trustee.
Fed. R. Bankr. P. 2014.

Since 1995, Brooks Kushman has provided legal services regarding intellectual
property matters to the Debtors. These services have included filing and enforcing the Debtors’
patents, trademarks and other intellectual property, as well as representing the Debtors in certain
intellectual property litigation and related services.

As a consequence, Brooks Kushman is intimately familiar with the complex legal
issues that have arisen and are likely to arise in connection with the Debtors’ intellectual
property. The Debtors believe that both the interruption and the duplicative cost involved in
obtaining substitute counsel to replace Brooks Kushman’s unique role at this juncture would be
extremely harmful to the Debtors and their estates. If the Debtors are required to retain counsel
other than Brooks Kushman in connection with the specific and limited matters upon which the
firm’s advice is sought, the Debtors, their estates, and all parties in interest would be unduly
prejudiced by the time and expense necessary to replicate Brooks Kushman’s ready familiarity
with the intricacies of the Debtors’ business operations. Further, Brooks Kushman has a national
reputation and extensive experience and expertise in intellectual property law. Accordingly, the
Debtors submit that Brooks Kushman is well qualified and uniquely able to provide the

specialized legal advice sought by the Debtors on a going-forward basis, and Brooks Kushman’s
retention as special counsel is in the best interest of the Debtors and their estates.
Services to be Provided
11.
The Debtors currently seek to retain Brooks Kushman, subject to the oversight
and orders of this Court, to advise the Debtors and their board of directors with respect to matters
of intellectual property advice, protection and enforcement. Brooks Kushman has indicated its
willingness to render the necessary professional services as special counsel to the Debtors.
12.
Brooks Kushman will not serve as bankruptcy and reorganization counsel to the
Debtors, and while certain aspects of the representation will necessarily involve both Brooks
Kushman and the Debtors’ bankruptcy and reorganization counsel, Kirkland & Ellis LLP, the
Debtors believe that the services Brooks Kushman will provide will be complementary rather
than duplicative of the services to be performed by such bankruptcy and reorganization counsel.
The Debtors are very mindful of the need to avoid duplication of services and appropriate
procedures will be implemented to ensure that there is minimal duplication of effort as a result of
Brooks Kushman’s role as special counsel.
Brooks Kushman’s Disinterestedness
13.
To the best of the Debtors’ knowledge, and based upon the LaFontaine
Declaration filed contemporaneously herewith, Brooks Kushman does not represent or hold any
interest adverse to the Debtors or their estates with respect to the matters on which Brooks
Kushman is to be employed. Further, to the best of the Debtors’ knowledge and based on the
LaFontaine Declaration, Brooks Kushman does not have any adverse connection with any
creditor or other parties in interest, or their respective attorneys or accountants, or the United
States Trustee or any of its employees, except as set forth in the LaFontaine Declaration.

Terms of Retention
14.
With the exception discussed in paragraph 14 below, in accordance with section
330(a) of the Bankruptcy Code, compensation will be payable to Brooks Kushman on an hourly
basis, plus reimbursement of actual, necessary expenses incurred by Brooks Kushman. The
current hourly rates charged by Brooks Kushman for each of the above-referenced services to be
provided on a hourly basis as set forth on Exhibit C attached hereto and as described in the
LaFontaine Declaration.
15.
The hourly rates set forth therein are subject to periodic adjustments to reflect
economic and other conditions. The rates set forth are at a level designed to fairly compensate
Brooks Kushman for the work of its attorneys and legal assistants and to cover fixed and routine
overhead expenses. It is Brooks Kushman’s policy to charge its clients in all areas of service for
all other expenses incurred in connection with the client’s account. The expenses charged to
clients include, among other things, telephone toll and other charges, mail and express mail
charges, special or hand delivery charges, document processing, photocopying charges, travel
expenses, expenses for “working meals,” computerized research, messengers, couriers, postage
and other non-ordinary overhead expenses such as overtime for secretaries and others. Brooks
Kushman will charge the Debtors for these expenses in a manner and at rates consistent with
charges made generally to Brooks Kushman’s other clients, to the extent the rates are in
accordance with United States Trustee guidelines. Brooks Kushman believes that it is more
equitable to charge these expenses to the clients incurring these expenses as opposed to
increasing hourly rates and spreading the expenses among all clients.

The Debtors’ management believes that the attorneys at Brooks Kushman are well
qualified to act on their behalf given their extensive knowledge and expertise in the fields in

which they are to be employed. The Debtors further believe that the engagement of Brooks
Kushman is essential to enable the Debtors to maximize the value of the estates.
17.
Brooks Kushman will submit interim and final applications for compensation in
accordance with the Federal Rules of Bankruptcy Procedure, the local rules of this Court and
such other and further orders as the Court may direct.
18.
By this Application, the Debtors request that Brooks Kushman’s retention be
approved as of the Petition Date.
19.
For the reasons set forth above, the Debtors believe that Brooks Kushman is well
qualified to serve as their special counsel in the Chapter 11 Cases. Moreover, the retention of
Brooks Kushman is necessary and in the best interests of the Debtors and their estates.
Request for Waiver of Stay
20.
The Debtors further seek a waiver of any stay of the effectiveness of the order
approving this Application. Pursuant to Rule 6004(h), “a[n] order authorizing the use, sale, or
lease of property other than cash collateral is stayed until the expiration of ten (10) days after
entry of the order, unless the court orders otherwise.” As set forth above, the payments proposed
herein are essential to prevent potentially irreparable damage to the Debtors’ operations, value
and ability to reorganize. Accordingly, the Debtors submit that ample cause exists to justify a
waiver of the ten (10) day stay imposed by Bankruptcy Rule 6004(h), to the extent it applies.
Motion Practice
21.
This Application includes citations to the applicable authorities and a discussion
of their application to this Application. Accordingly, the Debtors respectfully submit that such
citations and discussion satisfy the requirement that the Debtors submit a separate memorandum
of law in support of this Application pursuant to Rule 9013-1(b) of the Local Bankruptcy Rules.

Notice
22.
The Debtors have provided notice of this Application to: (a) the Office of the
United States Trustee for the Southern District of New York; (b) the entities listed on the
Consolidated List of Creditors Holding the 50 Largest Unsecured Claims filed pursuant to
Bankruptcy Rule 1007(d); (c) counsel to the agent for the Debtors’ prepetition senior lenders and
proposed postpetition secured lenders; (d) each trustee for each of the Debtors’ notes; (e) counsel
to the ad hoc committee of the Debtors’ unsecured noteholders; (f) the Internal Revenue Service;
and (g) the Securities and Exchange Commission. In light of the nature of the relief requested,
the Debtors respectfully submit that no further notice is necessary.

No prior application for the relief requested herein has been made to this or any
other Court.

WHEREFORE, the Debtors request the entry of an order, substantially in the form
attached hereto, (i) authorizing the retention and employment of Brooks Kushman as special
counsel for the Debtors under section 327(e) and 328(a) of the Bankruptcy Code effective nunc

conditions of Brooks Kushman’s employment as further described in the Application are
reasonable; and it appearing that this Court has jurisdiction over this matter pursuant to 28
U.S.C. §§ 157 and 1334; and it appearing that this proceeding is a core proceeding pursuant to 28
U.S.C. § 157(b)(2); and it appearing that venue of this proceeding and this Application is proper
in this district pursuant to 28 U.S.C. §§ 1408 and 1409; and proper notice of the Application
having been given; it is hereby ORDERED that:
1.
The Application is granted as set forth herein.

The Debtors are authorized to take all actions necessary to effectuate the relief
granted pursuant to this Order in accordance with the Application.

The retention and employment of Brooks Kushman as special counsel for the
Debtors for the purposes set forth in the Application and the LaFontaine Declaration is hereby
approved, effective nunc pro tunc to the Petition Date.
4.
Brooks Kushman shall be compensated under sections 330 and 331 of the
Bankruptcy Code and, as well as any further orders of this Court concerning compensation of
professionals in these cases and in accordance with the terms set forth in the Application and the
LaFontaine Declaration and shall be reimbursed for all allowed necessary, actual and reasonable
expenses.
5.
The allowed fees and expenses of Brooks Kushman shall be an administrative
expense of the Debtors’ estates.
6.
Notwithstanding the possible applicability of Bankruptcy Rules 6004(h), 7062,
9014 or otherwise, the terms and conditions of this Order shall be immediately effective and
enforceable upon its entry.

cases (collectively, the “Chapter 11 Cases”) for entry of an order authorizing the employment of
Brooks Kushman as special counsel for the Debtors, pursuant to sections 327(e) and 328(a) of
the Bankruptcy Code. This Declaration constitutes the statement of Brooks Kushman pursuant
to Rules 2014(a) and 2016 of the Federal Rules of Bankruptcy Procedure.
2.
I am not related and, to the best of my knowledge after inquiry of Brooks
Kushman’s shareholders, associates and other attorneys, no other attorney of Brooks Kushman is
related to any judge of the United States Bankruptcy Court for the Southern District of New
York or to the United States Trustee for this District or his/her employees.
3.
I do not hold or represent and, to the best of my knowledge and information, no
other attorney of Brooks Kushman holds or represents any interest adverse to the Debtors or their
estates with respect to any of the matters for which Brooks Kushman’s retention is sought. As
far as Brooks Kushman has been able to ascertain, neither I nor Brooks Kushman, nor any
shareholder, associate or other attorney thereof, has any adverse connection with the Debtors in
these Chapter 11 Cases, their creditors, any other party in interest or their respective attorneys or
professionals, except as hereinafter set forth.

For more than thirteen years, Brooks Kushman and certain of its shareholders and
associates have rendered legal services to the Debtors and their affiliates in connection with
various intellectual property and other related matters. Brooks Kushman’s legal services have
included filing and enforcing the Debtors’ patents, trademarks and other intellectual property, as
well as representing the Debtors in certain patent, trademark and other intellectual property
litigation. Over the course of these prepetition representations, Brooks Kushman periodically
has received compensation from the Debtors for services rendered and expenses incurred through

July 6, 2009 (the “Petition Date”). Brooks Kushman received an advance payment retainer of
approximately $460,298.71 for its prepetition and postpetition services and expenses to be
rendered or incurred for or on behalf of the Debtors. The Debtors have agreed that any portion
of the advance payment retainer not used to compensate Brooks Kushman for its prepetition
services and expenses ultimately will be used by Brooks Kushman to apply against other Brooks
Kushman bills and will be placed in a segregated account.

In matters unrelated to these cases, Brooks Kushman has in the past represented,
currently represents, and likely in the future will represent, certain of the Debtors’ and their
affiliates’ significant current vendors, officers, unsecured lenders, secured lenders, holders of
more than five (5) percent of voting stock, underwriters, indenture trustees, guarantee
beneficiaries, noteholders, sureties and customers (as identified in Exhibit 2 attached hereto), as
well as certain attorneys, accountants and financial advisors for such entities.

Brooks Kushman has undertaken a comparison of the persons and entities
identified in Exhibit 1 against the most complete available list of Brooks Kushman’s clients for
more than the past ten (10) years. To the best of my knowledge and information, as a result of
this comparison, it appears that Brooks Kushman has represented or does represent certain
entities identified in Exhibit 2 in unrelated matters but does not serve as general counsel to the
listed entities or their affiliates, parents or subsidiaries.

Further, Brooks Kushman has likely represented, from time to time, other lenders
in Debtors’ prepetition and debtor in possession lending groups, as well as many of the Debtors’
other creditors, equity interest holders and other parties in interest, their attorneys, accountants
and financial advisors and certain affiliates and subsidiaries of the foregoing in unrelated matters.

None of these representations, however, involves, or in the future will involve, the Debtors or
any aspect of Brooks Kushman’s representation of or relationship with the Debtors.

To the best of my knowledge, neither the Firm nor any of its partners, of counsel,
or associates have any interest materially adverse to the interest of the Estates or of any class of
creditors or equity security holders, by reason of any direct or indirect relationship to, connection
with, or interest in, the Debtors, including Movant Debtors, or for any other reason.
Accordingly, to the best of my knowledge, the Firm and its partners, of counsel, and associates
are “disinterested persons” as that term is defined and used in sections 101(14) and 327 of the
Bankruptcy Code.

Except as provided below, Brooks Kushman intends to apply to the Court for
compensation for professional services rendered in connection with these cases, subject to
approval of the Court and in compliance with the applicable provisions of the Bankruptcy Code,
the Federal Rules of Bankruptcy Procedure, the Local Bankruptcy Rules of the Court and any
orders of the Court. Brooks Kushman will charge hourly rates to the Debtors that are consistent
with customary hourly rates charged by Brooks Kushman, which currently are $63.75 to $88.00
for paralegals, $106.25 to $272.00 for associates and $178.50 to $306.00 for shareholders,
subject to periodic adjustments, plus reimbursement of actual and necessary expenses and other
charges that the firm incurs. The principal attorneys who will be handling the representation and
their current hourly rates are as shown on attached Exhibit 3.

As described in the Application, Brooks Kushman’s limited role in these cases
will be that of special counsel to the Debtors regarding matters of intellectual property advice,
protection and enforcement. Accordingly, while the number of hours expended by Brooks
Kushman is expected to be small as compared to the hours expended by the Debtors’ general

bankruptcy and reorganization professionals, a large proportion of those hours will necessarily
require the services of experienced senior shareholders such as myself.

The hourly rates set forth above are subject to periodic adjustments to reflect
economic and other conditions. Other attorneys or paralegals may from time to time serve the
Debtors as well in the matters for which Brooks Kushman’s retention is sought.
Brooks
Kushman’s rates are set at a level designed to compensate Brooks Kushman fairly for the work
of its attorneys and paralegals and to cover fixed and routine overhead expenses. It is Brooks
Kushman’s policy to charge its clients in all areas of practice for such additional expenses as
telephone toll and other charges, mail and express mail charges, special or hand delivery charges,
document processing, photocopying charges, travel expenses, expenses for “working meals,”
computerized research, messengers, couriers, postage and other non-ordinary overhead expenses
such as overtime for secretaries and others. Brooks Kushman will charge the Debtors for these
expenses in a manner and at rates consistent with charges generally made to Brooks Kushman’s
other clients to the extent rates are in accordance with United States Trustee guidelines. Brooks
Kushman believes that it is more equitable to charge these expenses to the clients incurring these
costs than to increase the hourly rates and spread the expense among all clients.
12.
No promises have been received by Brooks Kushman as to compensation in
connection with this case other than in accordance with the provisions of the Bankruptcy Code.
Brooks Kushman has no agreement with any other entity to share (a) any compensation it has
received or may receive for services rendered in connection with these cases with another party
or person or (b) any compensation another party or person has received or may receive for
services rendered in connection with these cases.
