To play golf at 1700 m above sea level in a breath-taking alpine setting and in one of the most beautiful valleys
anywhere – to play golf on a historical course – to be a member of the oldest golf club in Switzerland: this is
the ENGADINE GOLF CLUB.
With over 1300 members our club ranks among the largest golf clubs in Switzerland, offering its members
the unique opportunity to play on two excellent golf courses in the Engadine: the 18-hole championship
course in Samedan and the 18-hole championship course in Zuoz-Madulain. The comprehensive calendar of
tournaments has something to satisfy every taste for those looking for sporting competition with other members and guests.
125 years ENGADINE GOLF CLUB: anniversary in 2018
The ENGADINE GOLF CLUB was founded in 1893 and is therefore the oldest golf club in Switzerland. In
2018 we celebrate our 125th anniversary. The planning process for these activities is well underway and I
am looking forward to the many events to celebrate our anniversary which will take place all over the season
2018. We not only want to celebrate ourselves, but invite our guests, our region and the entire golfing community at home and abroad to join us.
In our capacity as the oldest golf club we cherish our traditions. For us, tradition means on the one hand to
preserve positive and well-established features, on the other hand to be open for innovation. It means to really
live the tradition, to observe perfect golfing etiquette on the course and beyond it. Golf should be promoted
in the Engadine with a focus on the fundamental idea of the game: the joy of golf!
The 125 year anniversary is an opportunity to revive our traditions and at the same time look towards the future.
Our juniors are the future of our clubs. We offer junior training on different levels on a regular basis, we teach
the rules and organise tournaments in order to enable our juniors to obtain their certificate to play the course
(“Platzreife”) as well as their handicap. The results of the past years have proved us right: juniors often ranked
top when it came to winning awards and they earned several prizes. We are really pleased about that.
With Caroline and Martin Rominger our club has two ambitious golfers on the professional tour who started
to play golf in the Engadine and now promote our name throughout the world.
We invite you to read on and to get to know the advantages you enjoy as a member of the ENGADINE GOLF
CLUB and how, in addition to playing in tournaments, you can cultivate the game of golf and friendships in
one of our Sections: Active Members, Ladies, Seniors or Juniors.

Engadine Golf Club – since 1893
125 years ENGADINE GOLF CLUB
The ENGADINE GOLF CLUB in Samedan was founded over 120 years ago, making it not only the oldest
golf club in Switzerland but also one of the oldest golf clubs on the European continent. To be precise, the
ENGADIN GOLF CLUB is the 6th-oldest club in Europe after the French clubs Pau, Dinard, Biarritz and
Cannes as well as Oporto in Portugal.
In 2018 the ENGADIN GOLF CLUB will celebrate its 125 year anniversary. This anniversary shall draw attention to the long-time tradition
of golf in the Engadine, because everything started in summer 1889
with a journey by hotel pioneer Conradin von Flugi to England where
he intended to assess the possibilities of building a golf course in the
Engadine.
The result was a 9-hole course situated between today’s railway station
and St. Moritz Bad. This course was first mentioned in the “Engadine
Year Book” of 1890 which rated it as “very sporty”. Thus it was the
people of St. Moritz and their guests who managed to first give a home
to golf on the old continent.
Since golf took the Engadine by storm it came as no surprise that the town of Samedan granted permission
to the “Hotel Bernina” to build an 18-hole golf course in the Champagna plain.
The Director of the “Bernina”, Angelo Franconi, became the first “Honorary Secretary” of the ENGADINE
GOLF COURSE which was founded in 1893; in the same summer the Engadine Championships took place
for the first time. In the following spring a simple shelter was built in the shape of a chalet, serving as the first
club house.
At that time, two golf clubs existed in the Engadine, namely the St. Moritz GC and the Engadine GC in Samedan. As more or less the same people were members of both clubs, it was not long before a merger took
place. The initiators of this merger knew that St. Moritz had
the funds and Samedan the territory.
Joining forces meant that a proper club house could be built
which was sponsored by generous patrons. The construction
costs amounted to CHF 10,000.
In the following years the Club made several fresh starts. On
5 August 1904, the General Assembly adopted new articles
of association and rules and it decided to join the “Swiss Golf
Association” which had just been founded.
In the same summer the first “Championships of Switzerland”
were held in Samedan. These championships and the ones

which took place in the Engadine in the following years continued to be won by English
players.
The success stories of golf and the ENGADINE GOLF CLUB went hand in hand.
Europe’s strongest players could be encountered in the Engadine until everything came to
a sudden and radical halt at the outbreak of
WWI in summer 1914. It was only in the 20’s
and 30’s that sports returned to the valley.
Again, regular tournaments took place: alongside the English there were now German,
French, Italian and even Swiss players competing for the prizes.
WWII meant that tourism came once again almost to a standstill. Nevertheless, there were
tournaments every summer, forging players
and club representatives into one big golfing
family with one common goal: retaining their
beloved sport.In the 50’s, 60’s and 70’s, the
golf course in Samedan became a popular
meeting place for personalities from industry,
politics and, of course, show business.
Another development became apparent in those years: several local caddies, enjoying plenty of practical instruction, acquired proficiency in the game and became excellent players themselves. However, the club refused to accept them as members - it remained an exclusive association of guests, their hosts and friends,
making it almost impossible for anybody else to join.
This led to the foundation of the Samedan Golf Club in 1949 which was accepted into the ASG in the 70’s.
As a result, two golf clubs made use of the course in Samedan. With the opening of the second 18-hole
course in Zuoz-Madulain the golfing capacity expanded to comprise 36 holes. The Engadine saw the advent
of a third golf club: the Zuoz Golf Club. The company GOLF ENGADIN St. Moritz AG was founded in order
to operate the two facilities; all three clubs were entitled to use both courses.
At the end of 2007, the Samedan Golf Club and the Zuoz Golf Club were incorporated into the ENGADINE
GOLF CLUB. This merger led to the formation of one of the biggest golf clubs in Switzerland, with a total of
1300 members. The members of the ENGADINE GOLF CLUB are entitled to play on the courses of both
Samedan and Zuoz-Madulain; the two courses are run by the GOLF ENGADIN St. Moritz AG.
2018 will be an important year for the ENGADINE GOLF CLUB: we are planning to celebrate our 125th anniversary during an entire golfing season. We invite you to reserve this golf summer early and to look forward
to the detailed programme of events.

Tournaments of the Engadine Golf Club
The ENGADINE GOLF CLUB actively fosters and promotes golf in the Engadine. Central to its intentions
are the pleasure of the game and the cultivation of the sport. This also includes fostering game formats which
reflect the tradition of the Club. Stroke play and match play as well as the popular stableford events are part
of the competition calendar.
Together with the GOLF ENGADIN St. Moritz AG the ENGADINE GOLF CLUB strives to organise an active
match programme which enables both members and guests to compete in tournaments.
Tournaments for members
In most tournaments guests are welcome to take part. However, the ENGADINE GOLF CLUB also organises
tournaments which are reserved for Club members in order to promote the sense of community between
members and their Club. The following tournaments are for members only:
· Weekly Tuesday match in Samedan / Zuoz-Madulain
· Club match – 18 holes
· Club Championship “Maestraunza” – 36 holes
It is not just the sport that counts, but also spending time together. In these tournaments organised by the ENGADINE GOLF CLUB the prize-giving ceremonies are usually followed by a social event with dinner.

The ENGADINE GOLF CLUB is also active in the organising committee and in the game committee of the

The social programme in these tournament weeks is always varied and attractive and offers members a lot of
opportunities for contact with guests both on and off the course.

The Etiquette of Golf – things to
remember
The ENGADINE GOLF CLUB promotes and supports the sport of golf in the Engadine. In line with this
motto, we want to make sure that our club members are welcome guests on all golf courses. Golf not only
has its rules, but also its etiquette, which is an important aspect of the sport. We want to show our respect
by carefully observing the rules of golfing etiquette.
At the ENGADINE GOLF CLUB we respect and observe rules and etiquette, the flow of the game and its
dress code and we enjoy the game. We
· treat the course with care;
· do not endanger anybody;
· keep up a smart pace of play;
· are in control of ourselves.
What makes a “fair” golfer?
Etiquette is a key factor in golf. Fair golfers promote and further golf by observing its etiquette.
If you are new to the world of golf, the best way to become familiar with the course is to acquaint yourself
with what you have to do and how you should behave.
Teeing off
Pace of play
· always be on time for the game;
· already plan your shot when moving towards your
ball or while another player is hitting;
· always think of your own and other players’ safety;
· to be on the safe side, always wait for the group
ahead of you to move out of reach of your longest
shot;
· never practise swings in the proximity of or in the
direction of people;
· develop an efficient preparation technique for your
shot;
· be ready to play the ball when it is your turn –
especially on the green;
· always move forward swiftly between shots;
· try to position yourself always on the same side as
the ball when another player is teeing off;
· always go directly to your ball, do not follow other
players unless helping them find a ball;
· don’t move around or talk while another player is
playing a stroke;
· only in exceptional cases gauge the exact distance
by walking to the next distance marker, develop a
feeling for the correct distance (especially on your
home course);
· do not damage the turf when practising swings.
· always play a provisional ball if you believe your ball
could be lost outside a water hazard or out of
bounds;
· note your score at the next tee while others in your
group take their turn or after teeing off yourself;
· let faster players play through.

Course maintenance
Fair play and consideration
· replace any turf that you or other golfers have gouged out;
· play the course as it is;
· remove any footprints and bumps after playing your
ball out of a bunker.
· play the ball as it lies: if this is not possible, do what
is fair. In order to know what is fair you have to
know the rules of golf;
The green
· treat other players in the same way as you would
like to be treated;
· remove any ball marks correctly;
· respect the order of play – especially at the tee;
· repair your own ball marks and those of other golfers (note: a repaired ball mark takes three days to
recover, a ball mark left without repair, three
weeks!);
· leave the course in a better condition than the one
you found it in;
· always leave golf carts and bags outside the green
in the direction of the next tee;
· be careful when handling the flagstick, especially
when you remove it from the hole, when you put it
back into the hole or lay it down on the green;
· mark your golf ball with a small coin or a similar
item (not with a tee or a pitchfork);
· never move into the line of putt of another player;
· study the putting line in time to be ready for your
turn;
· remove the ball by hand from the hole, not with the
putter;
· walk with care, avoid spike marks;
· never step too close to the hole;
· you play your best golf when you have your emotions under control;
· and finally: turn off your mobile phone.
Style means wearing the right outfit
By observing the golfing dress code you express
your respect towards your fellow players and towards the golf club. As one of the oldest golf clubs
in Switzerland and in Europe and proud of its rich
heritage, our members and guests dress in accordance with the club rules. At the ENGADINE
GOLF CLUB that means among other things: casual trousers – no blue jeans, shirts with collars for
ladies and gentlemen – no tops with spaghetti
straps. The club offices both in Samedan and ZuozMadulain can provide you with detailed information
on the dress code.

Throughout the golfing season, the ENGADINE
GOLF CLUB organises tournaments exclusively for
its members. The attractive calendar of tournaments
provides the right kind of challenge for every taste.
Worth mentioning are for instance the number of inhouse events such as the Tuesday matches in the
pre- and after-season, the club match with its elegant
evening event, the season match play and, of course,
the highlight of the season: the club championship
“Maestraunza” which is played over two days and on
both courses in stroke play mode.
On a national level, two gentlemen teams compete
for glory and honour at the interclub championships.
And there is the season match play which is open to
all active gentlemen of the ENGADINE GOLF CLUB
and whose result determines the match play champion at the end of the season.

Our aim is not only to help members improve their
game with stroke tournaments, but also to offer a social platform with informal tournaments, prize-giving
ceremonies, cocktails and dinners where Ladies can
get to know other members and form friendships that
go beyond golf.
Our friendly games with other Ladies from the canton
of Graubünden enable us to organise excursions to
other courses and to somewhat prolong our season,
for instance the tournament in Villa d’Este.
Our interclub teams represent us in all of Switzerland
in two different categories and the Senior Ladies also
take part with a team.
It is not always the score that counts most: fair play
and fun are just as important to us. We look forward
to a good turn-out at our events.

The Senior Section of the ENGADINE GOLF CLUB
was founded in 1987 under the motto „Play, have fun
and spend time with friends“. It is open to seniors
from the age of 55. Initially there were seven players,
while today there are over 175 registered members.
Meet and Play means that we get together for informal rounds of golf in Samedan or Zuoz-Madulain, followed by relaxing hours in friendly company, without
any ratings. Friends and guests from home and
abroad are also invited to take part in these games
(non-members only pay the Green Fee, dates and
registration on the information board at the club
house Samedan).
Seniors wishing to compete more often with golfing
friends from other Swiss clubs have the opportunity
to register as ASGS members.
We are pleased if we have kindled your interest and
gladly welcome new members to our Senior Section
of the ENGADINE GOLF CLUB.

The new generation is cordially invited to take part in
the junior training sessions of the ENGADINE GOLF
CLUB. Regular trainings on the practice ranges of
Zuoz-Madulain and Samedan and the instruction of

coaching process.

Membership of the Engadine Golf Club
Membership of the ENGADINE GOLF CLUB has many advantages and opens the possibility of playing on
two courses with fabulous views of the Engadine mountain panorama.
Golf Samedan and Golf Zuoz-Madulain are both par 72 and 18-hole courses. However, they are completely
different in character. While Samedan, the oldest 18-hole course in Switzerland, is situated in the plain between Samedan, Punt Muragl and Celerina, the golf course Zuoz-Madulain stretches from Zuoz to Madulain
along the river Inn and between hills and woodland in an alpine setting. The ENGADINE GOLF CLUB is
one of the largest golf clubs in Switzerland with a total of 1,300 members, of whom 800 are active members.
GOLF ENGADIN St. Moritz AG: eligibility to play
In addition to being a member of the ENGADINE GOLF CLUB, each club member needs to possess the formal eligibility to play on the two golf courses of Samedan and Zuoz-Madulain.
The GOLF ENGADIN St. Moritz AG operates both facilities, which count among their owners the communities
of Samedan, Zuoz and Madulain, on whose territory the courses are situated. Further important shareholders
are other communities in the Upper Engadine, the hotel industry and the ENGADINE GOLF CLUB members.
The GOLF ENGADIN St. Moritz AG authorises the members of the ENGADINE GOLF CLUB to play on their
courses under the condition that
· shares have been bought;
· the building cost contribution has been paid.
The annual playing fees for both courses are also fixed by the GOLF ENGADIN St. Moritz AG and collected
from the members of the ENGADINE GOLF CLUB.
In order to respond to different needs, there are several categories of playing rights.

Members of the ENGADINE GOLF CLUB are entitled to play on both golf courses – Samedan and
Zuoz-Madulain. Eligibility to play is granted by the GOLF ENGADIN St. Moritz AG and can be applied
for in connection with a membership of the ENGADINE GOLF CLUB.
Any person wishing to become a member of the ENGADINE GOLF CLUB and to obtain eligibility granted
by the GOLF ENGADIN St. Moritz AG has to submit a written application to the Chairman of the ENGADINE
GOLF CLUB. The Board of the ENGADINE GOLF CLUB approves applications for membership and informs
the GOLF ENGADIN St. Moritz AG of the admission of new members, requesting eligibility to play on behalf
of the new club member.

Art. 1 Name und Sitz
Unter dem Namen Engadine Golf Club mit Sitz in Samedan besteht ein Verein im Sinne von
Art. 60ff ZGB, nachfolgend EGC genannt.
Art. 2 Zweck
Der EGC bezweckt die Pflege und Förderung des Golfsports im Oberengadin. Zur Verwirklichung dieses Zwecks arbeitet der EGC im Rahmen von Kooperationsvereinbarungen mit der
Golf ENGADIN St. Moritz AG zusammen. Er unterstützt diese beim Betrieb der Golfplätze
Samedan und Zuoz-Madulain und bei der Aufrechterhaltung eines geordneten Spielbetriebes.
Art. 3 Geschäftsjahr
Das Geschäftsjahr entspricht dem Kalenderjahr. Zwecks zeitgerechter Durchführung der geplanten Fusion mit dem Samedan Golf Club und dem Zuoz Golf Club endet das laufende
Geschäftsjahr ausnahmsweise am 31. Oktober 2007. Das folgende Geschäftsjahr beginnt
am 1. November 2007 und endet am 31. Dezember 2008.
Art. 4 Zuordnung
Der EGC ist Mitglied des Schweizerischen Golfverbandes (ASG).
II. Mitgliedschaft
Art. 5 Mitgliederkategorien
Der EGC kennt folgende Mitgliederkategorien:
a) Aktivmitglieder:
Alle Aktivspieler, die nicht unter eine der nachfolgenden Kategorien fallen.
b) Junioren: Jugendliche gemäss ASG-Definition und Juniorenreglement EGC.
c) Ehrenmitglieder: Einzelpersonen, die sich durch die Förderung des Golfsports im Oberengadin verdient gemacht haben.
d) Passivmitglieder: Natürliche oder juristische Personen. Sie sind berechtigt, an den Versammlungen und an gesellschaftlichen Anlässen des EGC teilzunehmen.
Ein Übertritt von einer Mitgliederkategorie in eine andere ist auf schriftliches Gesuch hin auf
Beginn eines neuen Geschäftsjahres möglich. Ein solches Gesuch muss bis zum 31. Oktober
des Vorjahres eingereicht werden.
Art. 6 Aufnahmegebühren und Beiträge
Die Aufnahmegebühr wird von der Mitgliederversammlung auf Antrag des Vorstandes festgelegt. Die Aktivmitglieder bezahlen folgende jährliche Beiträge:
· Clubbeitrag
· Beitrag an die ASG
· Spielgebühr an die GOLF ENGADIN St. Moritz AG
Der Clubbeitrag wird von der Mitgliederversammlung des EGC festgesetzt, die anderen Beiträge von den zuständigen Organen. Der Juniorenbeitrag und der Passiv-Beitrag werden von
der Mitgliederversammlung festgelegt.
Art. 7 Mitgliederaufnahme
Die Anmeldung zum Vereinsbeitritt hat schriftlich, für Jugendliche unter 18 Jahren mit Zustimmung des gesetzlichen Vertreters, an den Präsidenten des EGC zu erfolgen.
Über die Aufnahme von Mitgliedern entscheidet der Vorstand nach freiem Ermessen. Der
Beschluss ist endgültig und die Aufnahme kann ohne Angaben von Gründen verweigert werden. Der Vorstand kann die Aufnahme von Mitgliedern generell beschränken. Er erstattet jeweils an der Mitgliederversammlung Bericht über die Neuaufnahmen.

Art. 8. Rechte der Mitglieder
Sämtliche Aktivmitglieder haben Anspruch darauf, nach Massgabe dieser Statuten und den
von den zuständigen Organen der Plätze Samedan und Zuoz-Madulain gefassten Beschlüsse
und getroffenen Anordnungen, die Einrichtungen der Golfanlagen Samedan zu benutzen und
an deren Veranstaltungen teilzunehmen.
Diejenigen Mitglieder, welche die Aufnahmegebühren gemäss Reglement der Golf Engadin
St. Moritz AG für die Golfanlage Engadin Golf Zuoz-Madulain entrichtet haben, sind zusätzlich
auf den Golfanlagen Engadin Golf Zuoz-Madulain spielberechtigt.
Auf den Golfanlagen Samedan und Zuoz-Madulain ist nur spielberechtigt, wer gegenüber der
Golf Engadin St. Moritz AG und gegenüber dem EGC sämtliche finanziellen Verpflichtungen
erfüllt hat (Eintrittsgebühr, Jahresbeitrag) und rechtsgültig als Mitglied in den EGC aufgenommen ist.
Art. 9 Pflichten der Mitglieder
Jedes Mitglied des EGC ist verpflichtet:
· den mit der Mitgliedschaft verbundenen Verpflichtungen nachzukommen;
· sich dem Club und den Mitgliedern gegenüber loyal zu verhalten;
· das Golfspiel gemäss den Reglementen und den Regeln des «Royal and Ancient Golf
Club of St. Andrews» zu betreiben, nach der Maxime: Freundschaft und Fairplay.
Art. 10 Beendigung der Mitgliedschaft
Die Mitgliedschaft endet:
a) Durch schriftlich erklärten Austritt, der nur bis Ende September auf Ende des laufenden
Geschäftsjahres erfolgen kann.
b) Durch Ausschluss mit einem Beschluss des Vorstandes, welcher mit 3⁄4-Mehrheit der
anwesenden Mitglieder gefasst werden kann.
Ausschlussgründe sind insbesondere, wenn ein Mitglied
· vorsätzlich gegen die Satzung und Interessen des Vereins sowie gegen Beschlüsse
und Anordnungen der Vereinsorgane verstösst;
· in grober Weise das Ansehen oder die Interessen des Vereins schädigt;
· sich eines schwerwiegenden Regelverstosses schuldig macht;
· nach zweimaliger Mahnung mit der Zahlung von Beiträgen länger als drei Monate im
Rückstand bleibt oder andere aus der Mitgliedschaft erwachsende finanzielle Pflichten
nicht erfüllt;
· sonst durch sein Verhalten einen wichtigen Grund zum Ausschluss gibt.
Der oder dem Ausgeschlossenen steht ein Rekursrecht an die Mitgliederversammlung
zu. Der Rekurs hat keine aufschiebende Wirkung. In allen Fällen besteht kein Recht auf
Rückerstattung der geleisteten Aufnahmegebühren und Beiträge.
III. Organisation
Art. 11 Organe
Die Organe des Vereins sind:
a) die Mitgliederversammlung
b) der Vorstand
c) die Revisionsstelle
A. DIE MITGLIEDERVERSAMMLUNG
Art. 12 Einberufung und Abhaltung der Mitgliederversammlung
Die ordentliche Mitgliederversammlung ist nach Abschluss jedes Geschäftsjahres vom Vorstand einzuberufen. Sie soll innerhalb von 3 Monaten nach Geschäftsabschluss stattfinden.
Den Vorsitz der Versammlung führt der Präsident oder bei seiner Verhinderung der Vizeprä-

sident oder ein anderes vom Vorstand bestimmtes Mitglied. Die Einladung zur Mitgliederversammlung hat schriftlich, mindestens 20 Tage gerechnet ab Datum der Postaufgabe vor
dem festgesetzten Datum, unter Bekanntgabe der Traktandenliste zu erfolgen. Allfällige Anträge seitens der Mitglieder sind dem Präsidenten bis Ende Dezember des Vorjahres schriftlich
einzureichen. Eine ausserordentliche Mitgliederversammlung kann jederzeit vom Vorstand
einberufen werden. Auf Verlangen eines Zehntels der stimmberechtigten Mitglieder ist der
Vorstand verpflichtet, eine ausserordentliche Mitgliederversammlung einzuberufen.
Art. 13 Abstimmungen und Beschlussfähigkeit
Stimmberechtigt sind alle Mitglieder gemäss Art. 5. lic. a-c (Jugendmitglieder nach vollendetem 16. Lebensjahr). Jede ordnungsgemäss einberufene Mitgliederversammlung ist beschlussfähig, sofern das Gesetz oder die Statuten nichts anderes bestimmen.
Die Vereinsbeschlüsse werden, sofern das Gesetz oder diese Statuten nichts anderes bestimmen (siehe Art. 20 und 21), mit der Mehrheit der anwesenden stimmenden Mitglieder
gefasst.
Für die Beschlussfassung mit einfacher wie auch mit qualifizierter Mehrheit werden Stimmenthaltungen nicht mitgezählt. Soll eine Abstimmung oder Wahl geheim erfolgen, so müssen
dies mindestens ein Zehntel der anwesenden stimmberechtigten Mitglieder verlangen. Der
Leiter der Versammlung kann eine geheime Abstimmung oder Wahl jederzeit anordnen. Bei
Stimmengleichheit entscheidet der Präsident durch Stichentscheid, bei Wahlen das Los.
Art. 14 Kompetenzen der Mitgliederversammlung
Die Mitgliederversammlung hat folgende Kompetenzen:
a) Genehmigung des Protokolls der letzten Mitgliederversammlung
b) Kenntnisnahme des Jahresberichtes des Präsidenten und des Captains
c) Genehmigung der Jahresrechnung und Bilanz sowie Entgegennahme des Berichtes der
Revisionsstelle
d) Entlastung des Vorstandes
e) Genehmigung des Budgets
f) Wahl des Präsidenten, der übrigen Vorstandsmitglieder sowie der Revisionsstelle
g) Vorzeitige Abberufung von Inhabern von Vereinsämtern
h) Ernennung von Ehrenmitgliedern
i) Statutenänderungen
j) Beschlussfassung über einmalige nicht budgetierte Ausgaben, die CHF 10 000.– übersteigen
k) Beratung und Beschlussfassung über weitere vom Vorstand vorgelegte Geschäfte
l) Rekursentscheide über Ausschlussverfügungen des Vorstandes
m) Entscheidung über die Auflösung des Vereins
B. DER VORSTAND
Art. 15 Vorstand
Der Vorstand besteht aus mindestens 5 Mitgliedern. Der Präsident wird durch die Generalversammlung gewählt. Der übrige Vorstand konstituiert sich selbst. Die Vorstandsmitglieder
werden für die Dauer von drei Jahren gewählt. Es sind maximal vier Amtsperioden möglich.
Er versammelt sich so oft es der Präsident als notwendig erachtet oder wenn zwei Vorstandsmitglieder dies verlangen. Der Vorstand ist beschlussfähig, wenn mindestens zwei
Drittel der Vorstandsmitglieder anwesend sind. Im Einverständnis aller Vorstandsmitglieder
können Beschlüsse auch auf dem Zirkularweg erfolgen. Bei Stimmengleichheit entscheidet
die Stimme des Sitzungsleiters. Für Vorstandsbeschlüsse über den Ausschluss eines Mitgliedes gilt Art. 10 lit. b.
Art. 16 Kompetenzen des Vorstandes
Der Vorstand erledigt die laufenden Geschäfte und beschliesst über alle Angelegenheiten,
die nicht einem anderen Organ vorbehalten sind. Ihm fallen insbesondere folgende Aufgaben
zu:
a) Aufnahme und Ausschluss von Mitgliedern.
b) Aufstellung des Voranschlages und Rechnungsablage.
c) Entscheide über im Voranschlag nicht vorgesehene Ausgaben in selbständiger Kompetenz
bis zu CHF 10 000.– pro Geschäftsjahr.
d) Unterstützung der Golf ENGADIN St. Moritz AG bei der Erstellung des Spiel- und Matchplans.
e) Mithilfe bei der Organisation des Spielbetriebes, der Matches und der Preisverteilungen.
Er ist besorgt für die Einhaltung der Regeln des «Royal and Ancient Golf Club of St. Andrews».
f) Vertretung der Interessen der Clubmitglieder gegenüber der Golf ENGADIN St. Moritz AG
und der ASG. Der Vorstand schliesst zu diesem Zweck mit Ersterer Kooperationsvereinbarungen ab und ist bestrebt, eine angemessene Vertretung im Verwaltungsrat der Golf
ENGADIN St. Moritz AG zu halten.
g) Vorschläge zur Wahl in den Verwaltungsrat der Golf ENGADIN St. Moritz AG.
h) Delegation von administrativen Aufgaben an die Golf ENGADIN St. Moritz AG bzw. an
deren Mitarbeiter.
Art. 17 Zeichnungsberechtigung
Die rechtsverbindliche Unterschrift führen Präsident oder Vizepräsident mit einem anderen
Vorstandsmitglied kollektiv zu zweien.
C. REVISIONSTELLE
Art. 18 Wahl und Aufgaben
Die Revisionsstelle besteht aus zwei Rechnungsrevisoren oder Revisorinnen oder einer Treuhandgesellschaft. Ihre Wahl erfolgt jeweils für ein Geschäftsjahr. Dem Bericht der Revisionsstelle sollen Mitglieder entnehmen können, dass die Bücher ordnungsgemäss geführt
werden, der Jahresabschluss nach handels- und steuerrechtlichen Vorschriften erstellt wurde
und die Vermögenslage sowie das Geschäftsergebnis richtig wiedergegeben sind.
IV Schlussbestimmungen
Art. 19 Haftungsbeschränkung
Für die Verbindlichkeit des EGC haftet nur das Vereinsvermögen. Jede persönliche Haftung
der Mitglieder ist ausgeschlossen. Für aus dem Spielbetrieb entstehende Schäden und Sachverluste auf den Golfanlagen und im Clubhaus haftet der Verein den Mitgliedern gegenüber
nicht.
Art. 20 Statutenrevision
Für eine Statutenrevision ist eine 2⁄3-Mehrheit der stimmberechtigten anwesenden Mitglieder
erforderlich.
Art. 21 Vereinsauflösung
Die Auflösung des EGC kann mit einer Mehrheit von 2⁄3 der stimmberechtigten anwesenden
Mitglieder beschlossen werden. Im Falle der Auflösung des Vereins ist das Vereinsvermögen
zu Gunsten des Golfsports im Engadin zu verwenden. Die Liquidation des aufgelösten Vereins
erfolgt ohne anderen Beschluss der Mitgliederversammlung durch den Vorstand.
Art. 22 Inkrafttreten
Die vorliegenden Statuten ersetzen diejenigen vom 15. August 2003. Sie treten mit der Genehmigung der Mitgliederversammlung vom 7. September 2007 in Kraft.

Golf Engadin St. Moritz AG
The GOLF ENGADIN St. Moritz AG was founded on 24 July 2005 by the merger of the Engadin Golf AG
and the Zuoz Golf AG.
The GOLF ENGADIN St. Moritz AG operates the two championship golf facilities in Samedan and ZuozMadulain. Until the end of 2007, there were three golf clubs registered at the two courses – a unique occurrence in Switzerland: the Engadine Golf Club and the Samedan Golf Club in Samedan and the Zuoz Golf
Club in Zuoz-Madulain. As from 1 January 2008 these three clubs merged to become the ENGADINE GOLF
CLUB. It is now one of the biggest clubs in Switzerland with over 1,300 members.
It is the vision, but also the duty of the GOLF ENGADIN St. Moritz AG to position the two golf courses clearly
above the average standard of other alpine courses as regards concept, layout, maintenance and operations.
This brings the golf courses in line with the excellent sports facilities of the Upper Engadine and serves to
create and consolidate a unique image with the target groups.

Statuten Golf Engadin St.Moritz AG
I. Firma, Sitz, Dauer und Zweck
Art. I
Unter der Firma GOLF ENGADIN St. Moritz AG in Samedan besteht eine Aktiengesellschaft
mit Sitz in Samedan, deren Dauer unbestimmt ist.
Art. 2
Die Gesellschaft bezweckt den Betrieb, die Erhaltung, Erweiterung und Erneuerung von Golfplätzen, insbesondere der beiden Golfplätze in Samedan und in Zuoz-Madulain.
Die Gesellschaft nimmt auf die besonderen Bedürfnisse des Tourismus Rücksicht und achtet
auf ein ausgewogenes Gleichgewicht zwischen den Bedürfnissen der Golfgäste und der Golfclubmitglieder.
Die Gesellschaft kann im Übrigen alle Geschäfte eingehen und Verträge abschliessen, die
geeignet sind, den Zweck der Gesellschaft zu fördern oder die direkt oder indirekt damit in
Zusammenhang stehen.
II. Aktienkapital
Art. 3
Das Aktienkapital der Gesellschaft beträgt CHF 9'100'000.– und ist eingeteilt in 9'100 Namenaktien zu nominell CHF 1'000.–.
Die Gesellschaft übernimmt von der Politischen Gemeinde Zuoz die Stockwerkeinheiten Nr.
S51010 und S51013 in der Gemeinde Zuoz zum Preis von CHF 1'077'000.–, wobei CHF
577'000.– durch Übernahme von 577 Namenaktien der Golf Zuoz AG à CHF 1'000.– und
CHF 500'000.– in bar abgegolten werden.
Die Gesellschaft übernimmt Aktiven und Passiven der Engadin Golf AG auf Grund der Fusion
mit einem Aktivenüberschuss von CHF 250'126.61, wobei die Gesellschaft bereits 125 Namenaktien à CHF 1'000.– besitzt und weitere CHF 125'000.– durch Übernahme von 125
Namenaktien à CHF 1'000.– abgegolten werden.
Die Gesellschaft übernimmt von der Ferienregion Engadin das Clubhaus Samedan zum Preis
von CHF 938'000.–, wobei CHF 524'247.40 durch Übernahme der Grundpfandschulden gegenüber der Graubündner Kantonalbank Chur übernommen werden und CHF 413'000.–
durch Übernahme von 413 Namenaktien à CHF 1'000.– abgegolten werden.
Die Politische Gemeinde Samedan kapitalisiert den jährlichen Baurechtszins für den Golfplatz
Samedan verselbständigt als Grundstück Nr. D1915 von jährlich CHF 40'000.– zu 6 %, was
einen Betrag von CHF 700'000.– ergibt, welcher durch Übernahme von 700 Namenaktien
à CHF 1'000.– abgegolten wird.
Das Aktienkapital ist voll liberiert.
Die Generalversammlung ist befugt, die Namenaktien in Inhaberaktien umzuwandeln und
umgekehrt.
Art. 4
Die Gesellschaft führt über die Namenaktien ein Aktienbuch, in welches die Eigentümer mit
Name und Adresse eingetragen werden.
Im Verhältnis zur Gesellschaft gilt als Aktionär, wer im Aktienbuch eingetragen ist.
Art. 5
Die Eintragung in das Aktienbuch setzt einen Ausweis über den Erwerb der Aktie zu Eigentum
voraus. Die Gesellschaft muss die Eintragung auf dem Aktientitel bescheinigen. Die Aktien
sind nur mit Genehmigung des Verwaltungsrates übertragbar. Der Verwaltungsrat kann die
Bewilligung verweigern, sofern der Erwerber durch den Erwerb unter Berücksichtigung seiner
bisherigen Beteiligung gesamthaft zu einem Aktienpaket von über 3 % des Aktienkapitals
gelangen würde. Diese Bestimmung ist sinngemäss anwendbar auf Aktionärsgruppen, die
von untereinander rechtlich oder wirtschaftlich abhängigen Aktionären gebildet werden.

Die Bewilligung kann des Weiteren verweigert werden, wenn die Gesellschaft, andere Aktionäre oder vom Verwaltungsrat vorgeschlagene Dritte dem übertragungswilligen Aktionär die
Aktien zum wirklichen Wert abkaufen.
Die Bewilligung kann ferner verweigert werden, wenn der Erwerber nicht eine Erklärung
abgibt, dass er die Aktien in eigenem Namen und auf eigene Rechnung erwirbt.
Sie kann überdies aus wichtigem Grund verweigert werden. Als solcher gilt:
a) wenn der Erwerber direkt oder indirekt eine gesellschaftskonkurrierende Tätigkeit ausübt,
b) wenn die Eintragung des Erwerbers im Buch objektiv unvereinbar ist mit der Zwecksetzung
der Gesellschaft oder wenn sie deren wirtschaftliche Selbständigkeit gefährden würde.
Die Gesellschaft kann nach Anhörung des Betroffenen Eintragungen im Aktienbuch streichen,
wenn diese durch falsche Angaben des Erwerbers zustande gekommen sind. Der Erwerber
muss über die Streichung sofort in Kenntnis gesetzt werden.
Beim Erwerb von Aktien, kraft Güterrecht, Erbrecht oder Zwangsvollstreckung kann das Gesuch um Eintragung ins Aktienbuch nur abgelehnt werden, sofern dem Erwerber die Aktien
zum wirklichen Wert abgekauft werden.
Art. 6
Die Gesellschaft hat ein Vorkaufsrecht zum wirklichen Wert an allen Aktien, deren Veräusserung beabsichtigt ist. Die Veräusserungsabsicht ist dem Verwaltungsrat mit eingeschriebenem Brief mitzuteilen.
Art. 7
Der wirkliche Wert gemäss vorstehenden Art. 5 und 6 entspricht dem Substanzwert gemäss
letzter Bilanz unter Abzug des vollen Baukostenbeitrages. Die Berechnung erfolgt durch die
von der Generalversammlung gewählte Revisionsstelle.

A) DIE GENERALVERSAMMLUNG DER AKTIONÄRE
Art. 8
Oberstes Organ der Gesellschaft ist die Generalversammlung der Aktionäre.
Ihr stehen folgende unübertragbare Befugnisse zu:
1. die Festsetzung und Änderung der Statuten,
2. die Wahl der Mitglieder des Verwaltungsrates und der Revisionsstelle,
3. die Genehmigung der Jahresrechnung, des Jahresberichtes sowie die Beschlussfassung
über die Verwendung des Bilanzgewinnes, insbesondere die Festsetzung der Dividende,
4. die Entlastung der Mitglieder des Verwaltungsrates,
5. die Beschlussfassung über die Gegenstände, die der Generalversammlung durch das Gesetz oder die Statuten vorbehalten sind.
Art. 9
Die ordentliche Generalversammlung findet jedes Jahr innert 6 Monaten nach Schluss des
Geschäftsjahres statt. Ausserordentliche Generalversammlungen werden je nach Bedürfnis
einberufen. Die Einberufung einer Generalversammlung kann auch von einem oder mehreren
Aktionären, die zusammen mindestens 10 % des Aktienkapitals vertreten, unter Angabe der
zu behandelnden Geschäfte verlangt werden.
Art. 10
Die Einberufung erfolgt durch den Verwaltungsrat mindestens 20 Tage vor dem Versammlungstag. In der Einberufung sind die Verhandlungsgegenstände sowie die Anträge des Ver-

waltungsrates und gegebenenfalls die Aktionäre bekannt zu geben, welche die Durchführung
einer Generalversammlung verlangt haben.
Die Jahresrechnung, der Bericht der Revisionsstelle und der Jahresbericht sowie Anträge
auf Abänderung der Statuten sind während der Einberufungsfrist am Sitz der Gesellschaft
zur Einsichtnahme der Aktionäre aufzulegen. In der Einberufung der Versammlung ist auf
diese Auflegung hinzuweisen.
Die Abhaltung einer Universalversammlung gemäss Art. 701 OR ist ohne Einhaltung der vorerwähnten Einberufungsvorschriften zulässig.
Art. 11
In der Generalversammlung führt der Präsident des Verwaltungsrates oder ein anderes Mitglied des Verwaltungsrates den Vorsitz. Der Vorsitzende bezeichnet einen Protokollführer und
die Stimmenzähler, die nicht Aktionäre der Gesellschaft sein müssen.
Art. 12
Jede Aktie berechtigt zur Abgabe einer Stimme. Ein Aktionär kann sich mit schriftlicher Vollmacht durch einen anderen Aktionär vertreten lassen.
Art. 13
Die Generalversammlung wählt und fasst ihre Beschlüsse mit der absoluten Mehrheit der
anwesenden und vertretenen Aktienstimmen, soweit das Gesetz oder die Statuten für die
Beschlussfassung nicht zwingend eine qualifizierte Mehrheit vorschreiben.
Wahl und Beschlussfassung geschehen in der Regel in offener Abstimmung. Die Versammlung
kann jedoch auf Antrag für einzelne Geschäfte geheime Abstimmung beschliessen.
Art. 19
Der Verwaltungsrat ist befugt, über alle Angelegenheiten Beschluss zu fassen, welche nicht
von Gesetzes wegen oder durch die Statuten der Generalversammlung vorbehalten oder
übertragen sind.
Art. 20
Der Verwaltungsrat hat folgende unübertragbare und unentziehbare Aufgaben:
1. Die Oberleitung der Gesellschaft und die Erteilung der nötigen Weisungen
2. Die Festlegung der Organisation
3. Die Ausgestaltung des Rechnungswesens, der Finanzkontrolle sowie der Finanzplanung,
sofern dies für die Führung der Gesellschaft notwendig ist
4. Die Ernennung und Abberufung der mit der Geschäftsführung und der Vertretung betrauten
Personen sowie die Art und Form der Zeichnung derselben
5. Die Oberaufsicht über die mit der Geschäftsführung betrauten Personen, namentlich im
Hinblick auf die Befolgung der Gesetze, Statuten, Reglemente und Weisungen
6. Die Erstellung des Geschäftsberichtes sowie die Vorbereitung der Generalversammlung
und die Ausführung ihrer Beschlüsse
7. Die Benachrichtigung des Richters im Falle der Überschuldung
Art. 21
Die Mitglieder des Verwaltungsrates erhalten für ihre Tätigkeit eine angemessene Entschädigung, die alljährlich vom Verwaltungsrat festgesetzt wird.

B) DER VERWALTUNGSRAT
Art. 14
Der Verwaltungsrat besteht aus mindestens 3 Mitgliedern, die von der Generalversammlung
auf die Dauer von drei Jahren gewählt werden und wieder wählbar sind.
Werden in einer Amtsdauer Ersatzwahlen oder Zuwahlen getroffen, vollenden diese die Amtsdauer der amtierenden Verwaltungsräte.
Art. 15
Der Verwaltungsrat konstituiert sich selbst. Über die Verhandlungen ist ein Protokoll zu
führen, das vom Präsidenten und vom Protokollführer zu unterzeichnen ist.
Als Protokollführer kann auch eine Person bezeichnet werden, die nicht dem Verwaltungsrat
angehört und nicht Aktionär zu sein braucht.
Art. 16
Der Verwaltungsrat ist ermächtigt, die Geschäftsführung nach Massgabe eines Organisationsreglementes ganz oder zum Teil an einzelne Mitglieder oder an Dritte zu übertragen.
Soweit die Geschäftsführung nicht übertragen worden ist, steht sie allen Mitgliedern des
Verwaltungsrates gesamthaft zu.
Art. 17
Der Verwaltungsrat bezeichnet die vertretungsberechtigten Personen und die Art deren Zeichnung.
Art. 18
Der Verwaltungsrat ist beschlussfähig, sofern die Mehrheit seiner Mitglieder anwesend ist.
Der Verwaltungsrat fasst seine Beschlüsse und trifft seine Wahlen mit Stimmenmehrheit der
anwesenden Mitglieder. Bei Stimmengleichheit entscheidet der Präsident.
Über die Verhandlungen ist ein Protokoll zu führen, das vom Präsidenten und vom Protokollführer zu unterzeichnen ist.
Art. 22
Die Generalversammlung wählt jeweils für die Dauer von 3 Jahren eine Treuhandgesellschaft
als Revisionsstelle. Die Revisionsstelle ist stets wieder wählbar.
IV. Rechnungswesen, Gewinnverteilung und Reservefonds
Art. 23
Die Jahresrechnung der Gesellschaft wird jeweils per 31. Dezember abgeschlossen.
Art. 24
Über die Gewinnverteilung beschliesst die Generalversammlung auf Antrag des Verwaltungsrates unter Beachtung der gesetzlichen Vorschriften.
V. Auflösung der Gesellschaft
Art. 25
Die Auflösung der Gesellschaft kann unter Beachtung der gesetzlichen Bestimmungen jederzeit erfolgen.
VI. Bekanntmachungen
Art. 26
Die Bekanntmachungen der Gesellschaft erfolgen im Schweizerischen Handelsamtsblatt als
dem offiziellen Publikationsorgan. Die Mitteilungen an die Aktionäre können aber auch schriftlich an deren letztbekannte Adresse erfolgen. Der Verwaltungsrat ist ermächtigt, weitere Publikationsorgane zu bezeichnen.
